A robust contract is the foundation of any successful labour outsourcing arrangement. It protects all parties — the client, the outsourcing firm, and, indirectly, the workers — by defining roles, responsibilities, expectations, and remedies with clarity. The contract between the client and the outsourcing firm is a commercial service agreement — not an employment contract. It governs the commercial relationship between two businesses. It should be drafted carefully and should not be confused with or substituted by a standard employment contract template.

A labour outsourcing contract must contain a clear description of the services to be provided: what roles are being supplied, what the workers will do, where they will work, and what hours or shift patterns are anticipated. The commercial terms must be fully specified: the service fee, how it is calculated (per worker per hour, per day, or a fixed monthly rate), invoicing schedule, and payment terms.

A clear statement of the legal employer must be included, confirming that the outsourcing firm is the employer of the workers and bears all associated obligations. Compliance warranties by the outsourcing firm — warranting compliance with all applicable labour laws, minimum wage, and statutory obligations — are essential for the client’s protection.

Performance standards and service levels define what is expected in terms of worker quality, response times for staffing requests, and replacement processes. Confidentiality provisions protect both parties’ proprietary information. Termination provisions must spell out the conditions under which either party may end the arrangement, the notice required, and the obligations on termination. Without these, disputes about the exit from an arrangement can be protracted and costly.
